Terms of Service
Effective date: September 1, 2026
1. Agreement
These terms govern your use of the websites, software products and services provided by ApexElement LLC (“ApexElement”, “we”, “us”), a limited liability company registered in the State of Florida, United States. By using our websites or services you agree to them. If you do not agree, do not use the services.
2. The services
We build and operate artificial-intelligence software, including FrontlinePros, a missed-call text-back service for home-service businesses. Service descriptions, features and pricing are set out on the relevant product pages and may change as the products develop.
3. Eligibility and accounts
You must be at least 18 years old and able to enter into a binding contract. If you use the services on behalf of a business, you confirm you are authorised to bind that business. You are responsible for the accuracy of the information you give us and for anything done through your account.
4. Text messaging
Our messaging programmes are described in full in our Messaging Terms, which form part of these terms where they apply to you. In summary:
- We send messages only to numbers that have consented, as described in that document.
- Reply STOP to unsubscribe at any time, or HELP for assistance.
- Message and data rates may apply. Consent is not a condition of any purchase.
- Carriers are not liable for delayed or undelivered messages.
If you are a business customer using our services to communicate with your own customers, you are responsible for ensuring your use complies with applicable law, including the Telephone Consumer Protection Act and carrier requirements, and for the accuracy of the business information you ask us to send on your behalf.
5. Acceptable use
You agree not to use the services to:
- send unlawful, deceptive, harassing, hateful or obscene content;
- send messages to anyone who has not consented, or who has opted out;
- send content prohibited by carriers, including content relating to illegal substances, firearms, gambling or high-risk financial offers;
- impersonate any person or business, or misrepresent your affiliation;
- attempt to gain unauthorised access to our systems, or interfere with their operation;
- reverse engineer or resell the services without our written permission.
We may suspend or terminate access immediately if we believe these rules have been broken, or if a carrier or regulator requires it.
6. Not for emergencies
Our services must not be relied on to report or respond to an emergency. Automated messages are not monitored continuously. In an emergency, call 911 or the relevant emergency service.
7. Fees
Paid plans are billed in advance at the price shown when you subscribe. Unless stated otherwise, fees are non-refundable, and you may cancel at any time with effect from the end of the current billing period. We will give reasonable notice before changing prices.
8. Your content
You keep ownership of the information and content you or your customers provide. You grant us the licence needed to host, process and transmit it in order to operate the services. You confirm you have the rights necessary to give us that licence.
9. Our intellectual property
We keep ownership of our software, models, designs, documentation and trade marks. Nothing in these terms transfers those rights to you.
10. Automated output
Our services use artificial intelligence to generate replies and summaries. Output can be incomplete or wrong. It is provided to assist your judgement, not to replace it, and you should verify anything you rely on — including model numbers, part numbers and diagnostic suggestions — before acting on it.
11. Disclaimers
The services are provided “as is” and “as available”. To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the services will be uninterrupted or error-free, or that any message will be delivered.
12. Limitation of liability
To the fullest extent permitted by law, ApexElement will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business opportunities. Our total liability arising out of or relating to the services will not exceed the amount you paid us in the twelve months before the event giving rise to the claim, or one hundred US dollars, whichever is greater.
13. Indemnity
You agree to indemnify and hold ApexElement harmless from claims, losses and expenses arising out of your use of the services, your content, or your breach of these terms or of applicable law.
14. Termination
You may stop using the services at any time. We may suspend or end access if you breach these terms, if required by a carrier or regulator, or if we discontinue a product. Terms which by their nature should survive termination will do so.
15. Governing law
These terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Orange County, Florida will have exclusive jurisdiction, and you consent to that jurisdiction and venue.
16. Changes
We may update these terms. If we make a material change we will update the effective date above and, where appropriate, tell you directly. Continuing to use the services after a change means you accept the updated terms.
